Terms of Service

1. Who you are contracting with

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Prism Hooldus OÜ, a private limited company registered in Estonia under registry code 16894703, with its seat in Tallinn, Estonia, operating the service at adsbrain.eu ("AdsBrain", "we", "us").

By creating an account, accessing the website, or using any AdsBrain product, you confirm that you have read, understood and agree to these Terms and our Privacy Policy.

2. The service

AdsBrain is a professional software-as-a-service platform that provides:

• SEO Audits — fully automated crawling of your website, supplemented with off-page authority metrics and AI analysis, delivered as a prioritised action report. The full list of behind-the-scenes data processors is disclosed in our Privacy Policy.
• Fix Service — optional, on-demand application of recommended on-page fixes (titles, meta descriptions, canonical tags, image alt text) via the WordPress REST API or SFTP, using credentials you provide
• Google Ads Advisor — strictly read-only integration with your Google Ads account (Google OAuth scope adwords, read-only). AdsBrain reads your account data to produce a daily report with prioritised recommendations. AdsBrain does not, and by design cannot, create, pause, edit, delete, or budget-change any element of your campaigns. All changes remain the customer's sole responsibility

3. Eligibility and your account

• You must be at least 18 years old and have full legal capacity
• You must provide accurate registration information and keep it up to date
• You are responsible for all activity under your account — do not share your password
• You must notify us immediately at hello@adsbrain.eu of any unauthorised use or security breach

4. Your obligations when using the service

You agree that you will not:

• Submit for audit or for fixing any website that you do not own or for which you do not have explicit written authorisation to modify
• Use the service for any unlawful, deceptive or fraudulent purpose
• Attempt to reverse-engineer, decompile or disassemble any part of the AdsBrain software
• Resell, sublicense or commercially exploit the service without our written permission
• Use the service to build a competing product
• Use automated means to abuse the API, exceed the rate limits, or extract bulk data

5. Pricing, billing and refunds

Pricing

• All prices are quoted in euro (EUR) and, unless otherwise stated, exclude VAT
• For customers inside the European Union, Estonian VAT rules and reverse charge (Art. 44 VAT Directive) apply as relevant
• We may change prices for new purchases at any time. Active subscriptions continue at the price that was in effect when you subscribed, until the end of the billing period

Payment

• Payments are processed by Stripe Payments Europe, Ltd. and are subject to Stripe's own terms
• By providing a payment method you authorise us (via Stripe) to charge the applicable fees for the plan you select, including recurring fees for subscriptions, until you cancel

Refunds and the statutory right of withdrawal

Under EU Directive 2011/83/EU on consumer rights, consumer customers have a 14-day right of withdrawal from distance contracts. However, because AdsBrain is a digital service that begins immediately on your request, you expressly acknowledge when you place an order that:

• Performance of the service begins as soon as we start the crawl and the AI analysis
• Once the audit report has been delivered, the right of withdrawal lapses (Directive 2011/83/EU, Art. 16(m))
• For Fix Service jobs, the right of withdrawal lapses once the first approved fix has been applied to your website

If you believe the delivered service is materially defective, contact us at hello@adsbrain.eu within 14 days of delivery and we will investigate and, where appropriate, rerun the audit or issue a full or partial refund at our discretion.

6. Intellectual property

• The AdsBrain platform, its source code, design, trademarks and documentation are owned by Prism Hooldus OÜ or its licensors and are protected by Estonian and EU law
• We grant you a non-exclusive, non-transferable, revocable licence to use AdsBrain for your own internal business purposes, for as long as your account is active and in good standing
• The audit reports and fix logs delivered to you are yours to keep and use for your own business, including sharing them with your team, clients and suppliers

7. Third-party services

AdsBrain depends on a number of third-party data processors and APIs (the full list is disclosed in our Privacy Policy as required by GDPR Article 13). We are not responsible for the availability, accuracy or policies of those third-party services. When they are down, parts of AdsBrain may be temporarily unavailable.

8. Human review gate for fix and ads jobs

As a safety measure, AdsBrain will never apply changes to your live website or to your Google Ads account without an explicit approval step that a human administrator must confirm. This is a non-negotiable part of the product. Automated workflows always generate a proposed plan first, which must be reviewed and approved before any writes take place.

9. Service availability and support

• We aim to keep AdsBrain available at all times but do not warrant uninterrupted availability
• Planned maintenance will be announced at least 48 hours in advance where possible
• Support is provided by email at hello@adsbrain.eu during business days in the Europe/Tallinn time zone

10. Warranty disclaimer

To the fullest extent permitted by law, AdsBrain is provided "as is" and "as available" without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, accuracy of results, or non-infringement. No advice or information obtained from AdsBrain creates any warranty not expressly stated in these Terms.

SEO and online advertising are inherently uncertain. AdsBrain does not guarantee any particular ranking, traffic, conversion rate, return on ad spend or other business outcome.

11. Limitation of liability

To the maximum extent permitted by applicable law, AdsBrain will not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.

Our total aggregate liability under or in connection with these Terms shall not exceed the total fees paid by you to AdsBrain in the three (3) months immediately preceding the event that gave rise to the claim.

Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for death, personal injury, fraud or wilful misconduct.

12. Indemnity

You agree to indemnify and hold AdsBrain, its directors, employees and sub-processors harmless from any claim, demand, loss or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the service, or your submission of a website that you were not authorised to audit or modify.

13. Suspension and termination

• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period
• We may suspend or terminate your account immediately if you breach these Terms, if your payment fails, or if continued use of the service would expose AdsBrain or other customers to legal, security or reputational risk
• On termination, your access to the service stops. We will, on written request, export your data to you in a machine-readable format within 30 days

14. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-law rules. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of Harju County Court (Harju Maakohus) in Tallinn, Estonia. Consumers retain the right to bring proceedings in their country of residence where required by mandatory consumer-protection law.

15. Changes to these Terms

We may update these Terms when the service changes or when required by law. Material changes will be announced by email at least 14 days before they take effect. Your continued use of AdsBrain after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your account before they take effect.
